Accessing the U.S. Capital Markets from Europe without SEC Registration: Understanding the Interplay between Different Regulatory Regimes and Market Practice

London-based Paul, Weiss, Rifkind, Wharton & Garrison LLP partner Mark S. Bergman will provide an overview of the issues U.S. securities counsel should be aware of when representing European issuers, which are not SEC reporting companies, that are seeking to access the U.S. capital markets as part of initial public offerings or follow-on offerings.

The presentation will focus on:

Alternatives available to European issuers seeking to access the U.S. capital markets on an exempt basis
Offering structures commonly used in the European capital markets
“Home jurisdiction” regulatory requirements European issuers typically need to comply with
Accommodating different, and at times, inconsistent regulatory requirements and market practice when adding a U.S. tranche
